Description of Product and Services Offered
The Corporate and Securities group will provide highest quality business advisory services to discerning clients who are willing to pay above market rates for superior people and brand name services. The Corporate and Securities group will provide advisory services for a full range of domestic and international corporate, finance, securities and banking matters, with emphasis on mergers and acquisitions, joint ventures, public offerings, and corporate and commercial counseling.
The Goal of the Corporate and Securities group is to be an integral part of developing the preeminent international business advisory and consulting firm of the Southeast United States. This requires a team effort, which is the foundation of our practice group. Business is global due to the limitless boundaries of the Internet and the ever-shrinking world. At Wasserstrom & Associcates Consulting with offices in South Florida, but reach to every corner of the globe, the Corporate and Securities group will be uniquely positioned to provide our clients advice to address their international concerns wherever opportunities arise. Business requires special knowledge, experience, expertise and resources. The Corporate and Securities group is familiar with the relevant issues, knows what is standard and expected in the industry and has dealt with many of the major players in this area; however, it is the combination of our local group with the abundant resources of the entire Wasserstrom & Associates Consulting network that makes our integrated effort a force to be reckoned with in the local and regional advisory markets. It is clearly the intention of the Corporate and Securities group to leverage off of the firm's brand name and reputation for excellence in corporate and securities advice, as well as the complementary specialties.
The Securities practice covers broad securities experience focusing on corporate finance transactions and periodic reporting and securities compliance. Transactions include private placements, transfers of exempt securities (Regulations D and S, and 4(2) offerings, Rule 144); initial public offerings; secondary offerings, blue sky registrations and exemptions, periodic filings and compliance under the 1934 Act and the Williams Act; filing of Schedule 13D and 13G reports; and broker-dealer registrations.
The Corporate practice includes preparation and negotiation of stock and asset purchase agreements, partnership agreements, joint venture documents, and sales, licensing, distribution, employment, agency and buy out contracts. The Corporate and Securities group is also experienced in the production of loan documentation and financing instruments. Representation includes clients on dealer and franchise arrangements as well as corporate governance documents and assisting litigation counsel on corporate matters. |
